Company Secretary and Legal Services

Job Description Summary

The successful candidate will fulfil the duties of a Company Secretary as legislated by the Companies Act and guided by the King V Report.

Requirements

Applicants must have a Law Degree or LLB.

Admission as an Attorney or Advocate will be an added advantage.

Registration with a relevant recognised body for Chartered Secretaries will be an added advantage.

A Certificate in Municipal Finance Management Programme must be held or attained within 18 months of appointment.

Applicants must have at least five yearsโ€™ experience as a legal practitioner in commercial law or corporate governance.

Applicants must have experience in the interpretation and application of relevant legislation, drafting and vetting contracts, sourcing and providing legal opinions and managing litigation.

Applicants must have three to five yearsโ€™ experience in providing board secretarial services, including ensuring sound corporate governance.

A valid Code B driverโ€™s licence is required.

Applicants must have management experience, with at least three years at strategic or management level.

Applicants must have experience in corporate governance, risk management, legislative compliance and an in-depth understanding of legislation.

Skills and Abilities

Applicants must have extensive commercial law and corporate governance expertise.

Applicants must have conflict and dispute resolution skills.

Strong administrative and interpersonal skills are required.

Applicants must have organisational and planning skills.

Excellent written and communication skills are required.

Key Performance Areas

The successful candidate will provide board administration, legal support, statutory guidance, strategic advisory services, risk management and compliance support to the Agency.

Administration: Board and Sub-Committee Meetings

The successful candidate will make administrative and logistical arrangements to ensure that Board and Sub-Committee meetings take place within required parameters and compliance requirements.

Duties include establishing structures to support Board and Sub-Committee functions, monitoring action planning lists, compiling the annual corporate calendar and facilitating the circulation of round-robin items for consideration and resolution.

The candidate will communicate Board and Sub-Committee resolutions for implementation, develop action planning lists, update minute books, attendance registers, declaration of interest registers and similar records.

The candidate will also ensure that required signatures from Board and Committee members are obtained where required and that resolutions needing implementation by management are properly recorded, circulated and monitored.

Legal Support and Advice to the Board

The successful candidate will ensure the effective management of the legal desk.

Duties include examining Government Gazettes to remain updated on legislation and ensure compliance with the law.

The candidate will provide legal advice to managers where required to avoid unnecessary litigation and ensure the Agency acts appropriately.

The candidate will research relevant legislation and case law where legal opinions or interpretations are required.

The successful candidate will provide written legal interpretations of documents, consult externally where necessary and assist with resolving legal disputes by providing formal legal opinions.

The candidate will also represent the Board on relevant legal forums and provide feedback in line with Board resolutions.

Statutory and Strategic Responsibilities

The successful candidate will empower directors with knowledge of their duties, responsibilities and powers.

The candidate will fulfil the duties of Company Secretary in terms of Section 33(3) of the Companies Act, 2008.

Duties include ensuring that minutes of Board and Committee meetings are recorded in accordance with the Companies Act.

The candidate will certify in the Annual Financial Statements that the Agency has filed required returns and notices in terms of the Companies Act, and indicate whether these are true, correct and up to date.

The candidate will ensure all relevant parties receive copies of the Annual Financial Statements.

The successful candidate will facilitate Board remuneration in line with approved policy and ensure Board and Sub-Committee performance assessments are conducted.

The candidate will also ensure that minutes of shareholder meetings, board meetings, committee meetings and audit committee meetings are properly recorded.

Risk Management and Compliance

The successful candidate will continuously update directors on laws applicable to the Agency.

Duties include reporting to the Board any failure by the Agency or a director to comply with the Memorandum of Incorporation, rules of the Agency or the Companies Act.

The candidate will ensure policies are updated and approved by the Board.

The candidate will contribute to meeting discussions and advise on the legal, governance, accounting and tax implications of proposed policies where required.

Additional duties include monitoring changes in legislation and the regulatory environment, liaising with external regulators and advisers, managing health and safety matters, managing insurance and property-related matters, and overseeing systems that ensure compliance with applicable codes, legal requirements and statutory requirements.
