Company Secretary
Job Purpose
To provide strategic guidance and professional support to the SANParks Board and Executive Management on corporate governance, legislative compliance, and board administration, ensuring that SANParks operates in line with all statutory requirements and best-practice governance principles.
Minimum Requirements
- NQF Level 8 qualification in Business Administration, Governance, Law, or a related field
- 7–10 years’ experience in Board or Company Secretarial and Governance roles
- Strong knowledge of corporate governance principles and Board operations
- Excellent communication, organisational and stakeholder engagement skills
- Proficiency in Microsoft Office Suite and Board management software
- High level of integrity, confidentiality, and attention to detail
- Ability to manage multiple priorities and work under pressure
- Strong problem-solving and decision-making skills
- Professional membership as a Chartered Secretary with the Chartered Governance Institute of Southern Africa (advantageous)
Key Responsibilities
- Advise Board Members on their duties, responsibilities, and powers
- Liaise with the Director-General and Minister’s offices on Board matters and appointments
- Facilitate Board strategic review sessions and site visits to national parks
- Coordinate Board induction, orientation, and annual performance assessments
- Manage annual Declarations of Interest for Board Members
- Advise the Board on legislation applicable to SANParks and report non-compliance with NEMPA, PFMA, Board Charter and Code of Conduct
- Ensure timely preparation, distribution, and approval of Board and Committee documents and minutes
- Communicate Board decisions and policy changes accurately and promptly
- Serve as the Information Officer for SANParks
- Prepare and manage the Board’s annual budget and oversee travel and subsistence claims
- Develop and maintain Board and Committee charters and codes of conduct
