Company Secretary – Company Secretariat’s Office
Purpose of the Job
To provide professional, strategic and administrative support to the NLC Board and its subcommittees in relation to regulatory compliance, fiduciary duties, corporate governance, reporting requirements and Board administration, as envisaged in the Companies Act and the King IV Code on Corporate Governance.
Required Qualifications
- Bachelor of Laws (LLB), NQF Level 8
Required Work Experience
- Minimum of five (5) years’ senior management experience
- Extensive knowledge of NLC and public administration policies and procedures, or proven experience in a similar grant-funding or public sector environment
Key Deliverables
Strategic Development
- Guide and support the NLC Board and subcommittees on governance, fiduciary duties, ethics, statutory responsibilities and compliance
- Ensure completion of the governance section of the Annual Report
- Advise the Chairperson on strategic and governance matters
- Coordinate Board risk assessments and strategic planning workshops
- Manage and participate in all Board and Committee meetings
- Monitor legislative changes and advise the Board on governance implications
- Maintain effective communication between the Board, Chairperson and Executive Management
- Manage confidential and gifts declaration policies and Board gift registers
Corporate Governance
- Ensure compliance with corporate governance principles, legislation and regulatory requirements
- Develop, implement and monitor corporate governance strategies, frameworks and policies
- Advise the Board on governance best practices and conduct regular governance reviews
- Support induction, orientation, training and development of Board members and executives
- Monitor compliance and identify governance risks within the NLC
- Act as custodian of all NLC policies
Stakeholder Management
- Manage effective internal and external stakeholder communications
- Represent the NLC on key internal and external forums
- Build strategic relationships with key stakeholders, including the DTIC
- Promote best practices through engagement with comparable organisations
- Drive communication of the NLC’s strategic direction across the organisation
People Management
- Lead and manage the Company Secretariat function
- Drive performance management, skills development, mentorship and succession planning
- Promote employee engagement, diversity and transformation initiatives
- Act as a change champion for Company Secretariat and organisation-wide programmes
